INDEMNIFICATION AGREEMENT

This Indemnification Agreement ("Agreement") is entered into as of , by and between:

Purpose:

This Agreement acknowledges the requirement for insurance coverage for participation in AWS re:Invent 2023, held at The Venetian Expo Center in Las Vegas, NV, from Nov 27 to Dec 1, and outlines the responsibilities and obligations of the Exhibitor regarding the lack of insurance coverage facilitated by The Scooter Rental Provider.

Insurance Responsibility:

The Exhibitor acknowledges that, despite reasonable efforts made by The Scooter Rental Provider to procure insurance coverage, the Exhibitor made the decision not to proceed with obtaining the available required insurance coverage in time of the event.

Scope of Work Clarification:

The Exhibitor acknowledges that at the time of hiring, the request for insurance coverage was not included in the initial scope of work. The Scooter Rental Provider was not made aware of the insurance requirements in a timely manner and therefore did not enter into a working agreement with the Exhibitor with knowledge of the policy details, costs, or other related information.

Responsibilities of the Exhibitor:

The Exhibitor, represented by Melissa Alter, accepts full responsibility for any grievances, issues, damages, losses, or liabilities that may arise due to the lack of insurance coverage during AWS re:Invent 2023 at The Venetian Expo Center.

Indemnification:

By having Atomic Scooters facilitate the duties hired for at AWS re:Invent 2023 without the required insurance coverage, the Exhibitor agrees to indemnify and hold harmless The Scooter Rental Provider from any claims, demands, losses, liabilities, damages, and expenses (including attorney's fees) that may arise from their participation in AWS re:Invent 2023 at The Venetian Expo Center.

Governing Law:

This Agreement shall be governed by and construed in accordance with the laws of .
